Contractual land rights
Overage and clawback rights.
Grupo Gosen retains and manages overage rights where land transactions provide for a further payment if defined future events occur. These rights preserve participation in value created after a disposal.
Future value participation
Overage allows a seller to retain an economic interest in specified future uplift.
An overage or clawback arrangement typically requires a buyer or successor to make an additional payment if a defined event occurs after completion. Common trigger events can include the grant or implementation of planning permission, a change of use, disposal at an uplifted value, commencement of development, achievement of a defined floor area or another event specified in the agreement.
Grupo Gosen may retain overage when disposing of land where future development or alternative use could create value that was not reflected fully in the original sale price. The overage right is then administered as a contractual property-related asset for the duration of the agreement.
Every overage agreement is bespoke. The trigger, period, deductions, valuation assumptions, payment percentage, notice obligations, exclusions and security package must be read from the actual document. This page explains the group’s general approach and does not alter any individual overage deed or transfer.
Rights under an overage agreement
Grupo Gosen’s rights may include more than the right to receive a payment.
Payment on a trigger
The core right is to receive the additional consideration calculated under the agreement when the specified trigger event occurs.
Notice and information
The agreement may require the landowner to notify Grupo Gosen of planning applications, permissions, disposals, development events or other matters relevant to the trigger.
Calculation and valuation rights
Grupo Gosen may have rights to review calculations, request evidence, appoint a valuer, challenge assumptions or use a dispute-resolution mechanism specified in the agreement.
Security
Overage can be protected through restrictions, positive covenants, charges, guarantees, bonds, deeds of covenant or other mechanisms depending on the transaction.
Successor obligations
The structure may require successors in title to enter into covenants or comply with registration controls so that the obligation continues during the overage period.
Release or variation
Grupo Gosen can consider negotiated releases, partial releases, variations, caps or restructuring where appropriate, normally in return for agreed commercial terms and documentation.
Trigger events
Whether overage is payable depends on the drafting, not on a generic idea of “development”.
A planning permission may be a trigger in one agreement but not another. Some agreements trigger on grant, others on implementation, disposal, practical commencement or receipt of value. Certain permissions may be excluded; extensions or variations may have special treatment; and multiple payments can be possible in some structures.
The calculation can also vary substantially. It may compare market values before and after a trigger, deduct planning and infrastructure costs, apply an agreed percentage, use a fixed formula or refer disputes to an independent expert. Grupo Gosen administers each right according to the contract actually entered into.
A landowner or developer should therefore raise a query before taking a step that could trigger payment or breach a notice obligation. Early engagement can allow the parties to confirm procedure and documentation before a transaction or development becomes time-critical.
Restrictions and security
Registration controls can preserve the overage obligation through later sales.
An overage arrangement is only as effective as its contractual and security structure. A restriction on the registered title can prevent registration of certain dispositions unless specified conditions are met. A deed of covenant may require a buyer to assume obligations. A legal charge, guarantee or other security may support payment in some transactions.
Where Grupo Gosen is beneficiary of a restriction, it may be asked to provide a certificate, consent or withdrawal for a sale, charge or other disposition. The group will first check compliance with the overage documents, notices, payments, successor covenants and any other conditions for release of the relevant registration control.
The existence of a restriction does not necessarily mean that overage is immediately payable; equally, the absence of a restriction does not automatically prove that no contractual obligation exists. The underlying agreement remains central.
Requests for a release or consent
Provide the agreement
Supply the transfer, deed, contract or other document creating the overage and identify Grupo Gosen’s interest.
Explain the proposed event
Describe the sale, charge, planning permission, development, transfer of part or other transaction requiring action.
Supply calculations
Where payment may be triggered, provide the contractual calculation, valuation evidence and permitted deductions.
Address security conditions
Provide successor deeds, certificates, undertakings or other documents required to preserve or satisfy the security.
Document the outcome
Any release, partial release, variation, consent or settlement is recorded formally so the continuing rights are clear.
Overage and clawback questions
What is overage?
+
It is a contractual right to receive an additional payment after a land sale if a defined future event occurs, often linked to planning, development, change of use or value uplift.
Does planning permission always trigger overage?
+
No. The trigger is whatever the agreement says. It may be grant, implementation, disposal, development, value receipt or another event, with exclusions and conditions.
Can Grupo Gosen stop a sale where a title restriction protects overage?
+
A restriction can prevent registration unless its conditions are met. Grupo Gosen’s role depends on the exact wording and the security documentation.
Can overage be bought out?
+
Grupo Gosen can consider a negotiated release or restructuring, but there is no automatic entitlement to a buyout unless the agreement provides one.
What should a conveyancer provide?
+
The overage document, title, proposed transaction, notices, successor covenants, calculations and the precise certificate, consent or release required.
